General Terms and Conditions of Sale


The General Terms and Conditions of Sale and Service (hereinafter “the General Terms”) of Serenitea FZC consist of both the present Preamble and the clauses which follow. These are entered into between, on the one hand, Serenitea FZC, as described in the “Legal Notice” document, and, on the other hand, the Customer, defined as the person having placed an order either via the Serenitea FZC, by telephone, or during an event where Serenitea FZC is present.


These General Terms and Conditions of Sale (“GTC”) are intended to govern all the rights and obligations of the parties in the context of any paid transactions carried out on the sites xtendency.ai, xtendency.ai/academy, and xtendency.ai/free-workshop-unique-offer.


The websites xtendency.ai, xtendency.ai/academy, xtendency.ai/free-workshop-unique-offer are the exclusive property of Serenitea FZC, whose registered office is located at Block B B28-067, City, SHARJAH-Dubai, UAE – Government of Sharjah, Sharjah Research Technology and Innovation Park Free Zone Authority, duly registered under the applicable trade registry of the United Arab Emirates.


By subscribing to any product and/or service presented on the sites xtendency.ai, xtendency.ai/academy or xtendency.ai/free-workshop-unique-offer, the Customer declares that they accept these General Terms and Conditions of Sale without reservation.


These General Terms constitute the entirety of the rights and obligations of the parties in the context of their contractual relationship. No specific condition initiated by the Customer may be added to and/or substitute these General Terms.


The fact that xtendency.ai, xtendency.ai/academy or xtendency.ai/free-workshop-unique-offer does not invoke a breach by the Customer of any of the obligations contained herein may not be interpreted in the future as a waiver of the obligation in question.


1 – OBJECT

These General Terms are intended to define the conditions under which, on the one hand, any purchase of one or more products presented on the Website and defined in Article 2 below is carried out, and, on the other hand, any registration for a live training workshop, an online course, or a

personalized coaching session (hereinafter referred to as “the Services”).


2 – CHARACTERISTICS OF THE PRODUCTS

The online courses, digital training materials, video workshops, and other intellectual works are produced and published by Serenitea FZC (hereinafter referred to as “the Products”), which holds all exploitation rights to these works.

The Products are delivered exclusively in digital format, accessible via secure streaming and/or download through the Academy’s member platform.

The visual presentation of the Products on the Website is provided for illustration purposes only. Actual content or format may vary slightly from the displayed previews without affecting the quality or nature of the Product.

The program is focused on advanced, career-oriented training in AI tools, workflows, and market applications for creative professionals (video, image, 2D/3D, FX, directing, art direction, photography).

Components may include:

- Weekly live cohort training, workshops, critiques

- Office hours & live Q&A

- Replays and a private resource library

- Workflow templates, cheat-sheets, and guided exercises

- Community access, peer accountability

- Market-scope sessions (industry trends, positioning, pricing, client acquisition)


3 – ORDERING PRODUCTS AND REGISTERING FOR SERVICES

3.1 – Order Placement

The Client may place an order or register for the Services via the Website, by email, or during events where Serenitea FZC is represented.

3.2 – Ordering Products and Registering for Services via the Website

3.2.1 – Account Creation and Identification

Through the Website, the Client may place an order once they have created a personal account. The Client must first provide their personal details for identification purposes. Once registered, the Client may log in using a unique identifier consisting of their email address and a password of their choice. This password may be changed at any time and is strictly personal and confidential.

The Client expressly acknowledges that entering their email address and password constitutes valid identification and acceptance of these Terms of Sale.

3.2.2 – Contract Formation – Double Confirmation

The contract is deemed validly formed when, after entering their email address and password, the Client has placed an order (first click), had the opportunity to read and accept these Terms of Sale, verified the details of their order (all Products and/or Services selected), corrected any possible errors, and confirmed it by a second click. This “double-click” procedure constitutes consent and triggers the enforceability of all amounts due for the execution of the contract by Serenitea FZC.

By confirming the order, the Client agrees that the obligation to pay is effective immediately.

3.3 – Order Confirmation

A confirmation email containing these Terms of Sale will be sent to the Client’s registered email address to confirm the conclusion of the contract on a durable medium. This confirmation email will also include the order number and a summary of all information required under applicable consumer law.


The Client is strongly advised to retain this confirmation email as proof of the order.


4 – PRICING CONDITIONS

4.1 – Currency – Taxes – Other Fees

The prices displayed on the Website are in U.S. dollars (USD) and are inclusive of any applicable taxes for consumers and non-professional clients, unless otherwise stated. The applicable tax rate is the legal rate in force at the date of the transaction, depending on the customer’s country of residence and relevant tax laws.

In the event of a change in the applicable tax rate, the adjustment of the total price including tax will be immediate and without prior notice.

In the case of an obvious and substantial typographical error in the displayed price, the contract may be canceled.

4.2 – Price Modifications

Serenitea FZC reserves the right to modify the prices of its Products and Services at any time. However, such modifications will not apply to contracts previously and validly formed (as described in Article 3.2).


5 – PAYMENT


5.1 – Full Payment Requirement

The total price of the order must be paid in full at the time of purchase. The receipt of full payment by Serenitea FZC triggers the provision of the Product(s) and/or the registration for the Service(s).

Serenitea FZC may, on an exceptional basis, agree to a payment in installments, depending in particular on the total amount due and the relationship with the Client. However, Serenitea FZC is under no obligation to grant such payment facilities. The Client may submit such a request by contacting Serenitea FZC’s customer service at helpdesk@xtendency.ai.

5.2 – Payment Methods

To complete their order, the Client may choose from all available payment methods offered at the time of checkout: by credit or debit card, or by bank transfer if explicitly requested by the Client and accepted by Serenitea FZC.

In the case of payment by card, the Client expressly acknowledges that the provision of their card details constitutes authorization for Serenitea FZC to debit their account for the full amount corresponding to the Product(s) purchased or the Service(s) subscribed to. The amount will be debited upon conclusion of the contract.


Secure online payment by card is processed via our payment partners Stripe and PayPal. Information transmitted is encrypted according to industry standards and cannot be read during transfer over the network. Any guarantee regarding the security of this system is entirely the responsibility of Stripe and PayPal, which have proven reliability and process millions of secure payments daily.

5.3 – Payment Authorization

The Client guarantees Serenitea FZC that they hold the necessary authorizations to use the chosen payment method at the time of order validation. Serenitea FZC reserves the right to suspend any order processing in the event of refusal of payment authorization by the relevant accredited organizations or in the event of non-payment.


Serenitea FZC also reserves the right to refuse to fulfill an order from a Client who has not fully or partially paid for a previous order, or with whom a payment dispute is in progress.


5.4 – Order Verification

Serenitea FZC reserves the right to implement a verification procedure for orders to ensure that no person uses another person’s payment information without their consent. As part of this verification, the Client may be asked to provide by email to helpdesk@xtendency.ai or by post to Serenitea FZC:


- A copy of valid identification,

- Proof of address

- A copy of the payment card used (front and back, ensuring only the first 4 and last 2 digits are visible, with the security code and full number concealed),

- For businesses, a company registration certificate dated within the last 3 months.

The order will only be validated upon receipt and verification of the requested documents.

5.5 – Recurring Payments

Payments exceeding a monthly commitment of three (3) months will automatically be converted into time-limited subscription plans.


6 – PRODUCT AVAILABILITY – CUSTOMER SUPPORT

6.1 – Availability of Products

Products are made available to the Client only after full payment has been received. Access is provided exclusively through the Xtendency Academy™ member platform, where the content can be streamed or downloaded in commonly used digital formats. It is the Client’s responsibility to ensure that their device and internet connection meet the technical requirements for accessing and viewing the content.


6.2 – Customer Support

To assist the Client after the purchase of a Product or subscription to a Service, Serenitea FZC provides dedicated customer support via email at helpdesk@xtendency.ai. This channel is intended to address technical issues, billing inquiries, or general assistance regarding the use of the Academy’s platform and resources.


6.3 – Progressive Content Access

Video lessons and other training materials may be unlocked progressively, in accordance with the structure of the training program. Once unlocked, these materials remain accessible to the Client for the duration of their active subscription and can be viewed at any time without restriction, subject to compliance with the Terms of Sale.


6.4 – No Seat Sharing

Enrollments are personal, non-transferable. Sharing credentials, concurrent logins, reselling, or redistribution of Content is prohibited and grounds for immediate termination without refund.


7 – TECHNICAL REQUIREMENTS

You are responsible for hardware, software, and stable internet sufficient for live sessions and streaming. Inability to access due to your technical environment is not grounds for refund.


8 – THIRD-PARTY TOOLS & COSTS

The Program references third-party AI tools/platforms (e.g., model providers, assets libraries). These are not included in Tuition and may require separate paid subscriptions. You must comply with third-party terms. We are not liable for changes, outages, or limitations of third-party services.


9 – RIGHT OF WITHDRAWAL

9.1 – No Withdrawal Period for Digital Products

The Client, whether a consumer or a non-professional, does not have a statutory right of withdrawal for any purchase of digital Products, in accordance with applicable consumer protection laws for the supply of digital content. By completing the purchase, the Client expressly agrees to immediate access to the Product and expressly waives their right of withdrawal.

9.2 – Withdrawal Period for Service Subscriptions

9.2.1 – The Client, whether a consumer or a non-professional, benefits from a withdrawal period of 14 calendar days starting from the date of the conclusion of the contract, in compliance with applicable consumer law provisions.


9.2.2 – The Client may exercise this right of withdrawal by submitting either:

The withdrawal form made available at the end of these Terms of Sale, or

A written request clearly expressing their intention to withdraw, sent to helpdesk@xtendency.ai.

Serenitea FZC will acknowledge receipt of the withdrawal request by email to the Client at the address provided during registration.


9.2.3 – The right of withdrawal is exercised without penalty.


9.2.4 – Serenitea FZC undertakes to process the refund using the same payment method used for the initial transaction. Refunds will be made within a maximum of 45 calendar days from the date the withdrawal request is received by Xtendency Academy™.


10 – SATISFACTION GUARANTEE – REFUND CONDITIONS

10.1 – Exclusion of statutory withdrawal period for digital content

In accordance with consumer protection regulations, the statutory right of withdrawal does not apply to the “supply of audio or video recordings, or computer software once they have been unsealed or accessed by the consumer.” The withdrawal period is therefore void from the moment the purchased product is downloaded, streamed, or otherwise accessed.

10.2 – Voluntary Satisfaction Guarantee (if applicable)

In certain specific cases, Serenitea FZC may offer a satisfaction guarantee for selected Products or Services. This guarantee will be clearly stated on the corresponding sales page. If such a guarantee applies, the Client may submit a request for a refund by contacting helpdesk@xtendency.ai within the specified timeframe.

10.3 – Services excluded from the satisfaction guarantee

The following Services are expressly excluded from any satisfaction guarantee: private coaching sessions, consulting calls, workshops, live group coaching, and any service where personalized support is provided.

10.4 – Refund Request Process

Refunds are granted only if the Client submits a formal request within 5 days of purchase. This request must be sent directly to our support team via email with the subject line:

“Refund Request - Xtendency Academy”

This procedure ensures that our team can promptly identify, review, and determine the eligibility of the refund request.

10.5 – Content Access Condition

To be eligible for a refund, the Client must not have consumed a significant portion of the course materials. This includes attending no more than one live class and refraining from extensively viewing, streaming, or downloading digital resources such as replays, worksheets, or tool documentation. If usage exceeds this threshold, refund eligibility may be voided.

10.6 – Exclusions from refunds

No refund will be issued in the following situations:

- If the Client has accessed the members’ area and consumed content beyond the conditions set out in 8.5 section.

- If the Client refuses to participate in part or all of the activities included in the program.

- If the Client declines to apply one or more of the instructor’s recommendations.

- If the refund request is made outside the stated timeframes.

- For bookings of coaching sessions, conferences, seminars, or events not explicitly marked as “satisfaction guaranteed” in their sales description.

10.7 – Administrative fees for transfer of enrollment

In the event that a Client requests to transfer their enrollment to another person, an administrative fee of 100$ (excl. VAT) will apply.

10.8 – Processing of approved refunds

Subject to compliance with the above conditions, any approved refund will be processed using the same payment method used for the initial transaction, within a maximum of 45 business days from the date the refund request is approved.


11 – LIABILITY

Serenitea FZC is fully responsible for the proper execution of the Client’s order, in accordance with the contractual commitments outlined in these Terms of Sale.


However, Serenitea FZC cannot be held liable for any poor performance or non-performance of the Services that is attributable to:

The Client’s own actions or omissions (including, but not limited to, use of outdated or insufficient computer equipment, inadequate internet connection, or lack of required software).


A case of force majeure, as defined by applicable law.


An unforeseeable and unavoidable event caused by a third party to the contract.


In particular, the Client is responsible for ensuring that they meet the technical requirements (hardware, internet speed, browser compatibility) necessary to access the online courses, live sessions, and downloadable resources. Any inability to access the Services due to the Client’s technical environment shall not be considered a fault of Serenitea FZC and shall not entitle the Client to compensation or refund beyond what is expressly provided for in these Terms.


12 – SUSPENSION – TERMINATION OF ACCOUNT BY XTENDENCY ACADEMY™

Serenitea FZC reserves the right to suspend or permanently terminate a Client’s account in the event of:


- Violation of these Terms of Sale or any other applicable policy of Serenitea FZC.

- Violation of any applicable law or regulation.

- Behavior that disrupts, harms, or poses a risk to other Clients, instructors, or the Academy’s operations.

- Non-payment, repeated failed payment attempts, or initiation of a chargeback without prior contact with our support team.


Such suspension or termination may occur without prior notice and without prejudice to any damages or compensation that Serenitea FZC may seek as a result of the Client’s actions.


Any person whose account has been suspended or terminated will not be permitted to place new orders, access the Academy’s content, or create a new account on the platform without the prior written authorization of Serenitea FZC.


13 – CONDUCT - COMMUNITY - ANTI-ABUSE

You agree to:

- Maintain professional conduct (no harassment, hate speech, spam, or disruption).

- Keep community discussions and shared peer work confidential.

- Refrain from soliciting/poaching or selling competing programs to Students in Academy spaces.

- Not create multiple accounts, use proxies/VPNs to evade restrictions, or attempt paywall/system circumvention.

- Violations may result in immediate suspension or termination without refund and denial of future enrollment.


14 – RECORD KEEPING – PROOF

Electronic records maintained by Serenitea FZC, under conditions that ensure reasonable security, shall be considered valid proof of all communications, orders, and payments exchanged between the parties.


The storage of order confirmations, invoices, and related documentation is carried out on a reliable and durable medium, ensuring they remain a true and lasting copy, in accordance with applicable legal requirements.


The electronic records kept by Serenitea FZC will be regarded by both parties as conclusive evidence of all communications, orders, payments, and transactions conducted between the Client and the Academy.


15 – MISCELLANEOUS PROVISIONS

In general, the Client and Serenitea FZC expressly agree to the possibility of exchanging information via email at helpdesk@xtendency.ai. This address will serve as the official correspondence address for Serenitea FZC.


Serenitea FZC reserves the right to amend these Terms of Sale at any time to incorporate, on one hand, any legislative or judicial developments applicable to e-commerce, and on the other, any technical or technological enhancements that improve the Website or Academy platform.


If any provision of these Terms of Sale is found to be null or void, it will be deemed unwritten, without affecting the validity of the remaining contractual provisions.


Any tolerance or waiver by either Party in enforcing, in whole or in part, any of the obligations set forth in these Terms of Sale regardless of frequency or duration shall not be construed as a modification of these Terms, nor shall it generate any acquired rights for the other Party.


16 – DISPUTE RESOLUTION

These Terms of Sale are governed by the laws of the United Arab Emirates.


In the event of a dispute, the Client, whether a consumer, non-professional, or professional may choose to engage in conventional mediation or any other alternative dispute resolution method.


If the Client is a professional, exclusive jurisdiction is expressly granted to the courts of Dubai, UAE.

By completing the purchase, the Client expressly agrees to immediate access to the Product and expressly waives their right of withdrawal.

9.2 – Withdrawal Period for Service Subscriptions

9.2.1 – The Client, whether a consumer or a non-professional, benefits from a withdrawal period of 14 calendar days starting from the date of the conclusion of the contract, in compliance with applicable consumer law provisions.


9.2.2 – The Client may exercise this right of withdrawal by submitting either:

The withdrawal form made available at the end of these Terms of Sale, or

A written request clearly expressing their intention to withdraw, sent to helpdesk@xtendency.ai.

Serenitea FZC will acknowledge receipt of the withdrawal request by email to the Client at the address provided during registration.


9.2.3 – The right of withdrawal is exercised without penalty.


9.2.4 – Serenitea FZC undertakes to process the refund using the same payment method used for the initial transaction. Refunds will be made within a maximum of 45 calendar days from the date the withdrawal request is received by Xtendency Academy™.


10 – SATISFACTION GUARANTEE – REFUND CONDITIONS

10.1 – Exclusion of statutory withdrawal period for digital content

In accordance with consumer protection regulations, the statutory right of withdrawal does not apply to the “supply of audio or video recordings, or computer software once they have been unsealed or accessed by the consumer.” The withdrawal period is therefore void from the moment the purchased product is downloaded, streamed, or otherwise accessed.

10.2 – Voluntary Satisfaction Guarantee (if applicable)

In certain specific cases, Serenitea FZC may offer a satisfaction guarantee for selected Products or Services. This guarantee will be clearly stated on the corresponding sales page. If such a guarantee applies, the Client may submit a request for a refund by contacting helpdesk@xtendency.ai within the specified timeframe.

10.3 – Services excluded from the satisfaction guarantee

The following Services are expressly excluded from any satisfaction guarantee: private coaching sessions, consulting calls, workshops, live group coaching, and any service where personalized support is provided.

10.4 – Refund Request Process

Refunds are granted only if the Client submits a formal request within 5 days of purchase. This request must be sent directly to our support team via email with the subject line:

“Refund Request - Xtendency Academy”

This procedure ensures that our team can promptly identify, review, and determine the eligibility of the refund request.

10.5 – Content Access Condition

To be eligible for a refund, the Client must not have consumed a significant portion of the course materials. This includes attending no more than one live class and refraining from extensively viewing, streaming, or downloading digital resources such as replays, worksheets, or tool documentation. If usage exceeds this threshold, refund eligibility may be voided.

10.6 – Exclusions from refunds

No refund will be issued in the following situations:

- If the Client has accessed the members’ area and consumed content beyond the conditions set out in 8.5 section.

- If the Client refuses to participate in part or all of the activities included in the program.

- If the Client declines to apply one or more of the instructor’s recommendations.

- If the refund request is made outside the stated timeframes.

- For bookings of coaching sessions, conferences, seminars, or events not explicitly marked as “satisfaction guaranteed” in their sales description.

10.7 – Administrative fees for transfer of enrollment

In the event that a Client requests to transfer their enrollment to another person, an administrative fee of 100$ (excl. VAT) will apply.

10.8 – Processing of approved refunds

Subject to compliance with the above conditions, any approved refund will be processed using the same payment method used for the initial transaction, within a maximum of 45 business days from the date the refund request is approved.


11 – LIABILITY

Serenitea FZC is fully responsible for the proper execution of the Client’s order, in accordance with the contractual commitments outlined in these Terms of Sale.


However, Serenitea FZC cannot be held liable for any poor performance or non-performance of the Services that is attributable to:

The Client’s own actions or omissions (including, but not limited to, use of outdated or insufficient computer equipment, inadequate internet connection, or lack of required software).


A case of force majeure, as defined by applicable law.


An unforeseeable and unavoidable event caused by a third party to the contract.


In particular, the Client is responsible for ensuring that they meet the technical requirements (hardware, internet speed, browser compatibility) necessary to access the online courses, live sessions, and downloadable resources. Any inability to access the Services due to the Client’s technical environment shall not be considered a fault of Serenitea FZC and shall not entitle the Client to compensation or refund beyond what is expressly provided for in these Terms.


12 – SUSPENSION – TERMINATION OF ACCOUNT BY XTENDENCY ACADEMY™

Serenitea FZC reserves the right to suspend or permanently terminate a Client’s account in the event of:


- Violation of these Terms of Sale or any other applicable policy of Serenitea FZC.

- Violation of any applicable law or regulation.

- Behavior that disrupts, harms, or poses a risk to other Clients, instructors, or the Academy’s operations.

- Non-payment, repeated failed payment attempts, or initiation of a chargeback without prior contact with our support team.


Such suspension or termination may occur without prior notice and without prejudice to any damages or compensation that Serenitea FZC may seek as a result of the Client’s actions.


Any person whose account has been suspended or terminated will not be permitted to place new orders, access the Academy’s content, or create a new account on the platform without the prior written authorization of Serenitea FZC.


13 – CONDUCT - COMMUNITY - ANTI-ABUSE

You agree to:

- Maintain professional conduct (no harassment, hate speech, spam, or disruption).

- Keep community discussions and shared peer work confidential.

- Refrain from soliciting/poaching or selling competing programs to Students in Academy spaces.

- Not create multiple accounts, use proxies/VPNs to evade restrictions, or attempt paywall/system circumvention.

- Violations may result in immediate suspension or termination without refund and denial of future enrollment.


14 – RECORD KEEPING – PROOF

Electronic records maintained by Serenitea FZC, under conditions that ensure reasonable security, shall be considered valid proof of all communications, orders, and payments exchanged between the parties.


The storage of order confirmations, invoices, and related documentation is carried out on a reliable and durable medium, ensuring they remain a true and lasting copy, in accordance with applicable legal requirements.


The electronic records kept by Serenitea FZC will be regarded by both parties as conclusive evidence of all communications, orders, payments, and transactions conducted between the Client and the Academy.


15 – MISCELLANEOUS PROVISIONS

In general, the Client and Serenitea FZC expressly agree to the possibility of exchanging information via email at helpdesk@xtendency.ai. This address will serve as the official correspondence address for Serenitea FZC.


Serenitea FZC reserves the right to amend these Terms of Sale at any time to incorporate, on one hand, any legislative or judicial developments applicable to e-commerce, and on the other, any technical or technological enhancements that improve the Website or Academy platform.


If any provision of these Terms of Sale is found to be null or void, it will be deemed unwritten, without affecting the validity of the remaining contractual provisions.


Any tolerance or waiver by either Party in enforcing, in whole or in part, any of the obligations set forth in these Terms of Sale regardless of frequency or duration shall not be construed as a modification of these Terms, nor shall it generate any acquired rights for the other Party.


16 – DISPUTE RESOLUTION

These Terms of Sale are governed by the laws of the United Arab Emirates.


In the event of a dispute, the Client, whether a consumer, non-professional, or professional may choose to engage in conventional mediation or any other alternative dispute resolution method.


If the Client is a professional, exclusive jurisdiction is expressly granted to the courts of Dubai, UAE.
